Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the client portal at portal.onbizus.com, the website at onbizus.com, and any related tools, communications, and services (together, the “Services”) provided by Onbizus LLC, a Texas limited liability company (“Onbizus,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

01The Services

The Services are tools we provide to manage our working relationship — including a client portal where you can view proposals, projects, files, messages, and invoices, and where you may communicate with us. The client portal is operated using a third-party platform (see Clause 9).

Any professional engagement — for example our Design & Web or AI Enablement work — is governed by a separate written agreement (an engagement letter, proposal, or statement of work, a “SOW”). Where a SOW conflicts with these Terms with respect to the specific engagement (scope, deliverables, fees, or intellectual-property ownership), the SOW controls. These Terms govern your general use of the Services.

02Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a company or other entity, you represent that you are authorized to bind that entity, and “you” refers to that entity.

To use the portal you may need an account. You agree to provide accurate information, keep your login credentials confidential, and notify us promptly at contact@onbizus.com of any unauthorized use. You are responsible for activity that occurs under your account.

03Acceptable use

You agree not to:

  • use the Services for any unlawful, infringing, or fraudulent purpose;
  • upload or transmit malware, or attempt to gain unauthorized access to the Services, other accounts, or the underlying systems;
  • interfere with or disrupt the integrity or performance of the Services;
  • reverse engineer, scrape, or resell the Services except as permitted by law; or
  • upload content you do not have the right to share, or that is unlawful, harmful, or violates the rights of others.

04Your content

You may submit files, documents, messages, and other materials to the Services (“Client Content”). As between you and us, you retain all ownership of your Client Content. You grant us a limited, non-exclusive license to host, process, and use Client Content solely to provide the Services and perform the engagement, and to comply with law.

You are responsible for the accuracy and legality of Client Content and for maintaining your own copies. We are not a backup or records- retention service.

05Intellectual property

The Services, including the website, portal configuration, text, graphics, and our trademarks (including the Onbizus name and logo), are owned by us or our licensors and are protected by intellectual- property laws. Except as expressly permitted, you may not use them without our prior written consent.

Ownership of deliverables we create for you under an engagement (for example, brand assets, websites, or AI workflows) is determined by the applicable SOW. Unless the SOW says otherwise, deliverables transfer to you upon full payment.

06Fees and payment

Fees for engagements are set out in the applicable SOW or invoice. Where the portal supports payment, invoices are payable on the terms stated. Payments are processed by a third-party payment processor; we do not store full payment-card numbers. Late or unpaid amounts may result in suspension of the Services. Except as required by law or stated in a SOW, fees are non-refundable.

07Confidentiality

Each party may receive non-public information of the other. Each party agrees to use the other’s confidential information only to perform under these Terms or a SOW, to protect it with reasonable care, and not to disclose it except to those who need it and are bound by similar obligations. This does not apply to information that is public through no fault of the receiving party or that must be disclosed by law.

08Privacy

Our Privacy Policy at onbizus.com/privacy describes how we collect and use personal information and is incorporated into these Terms by reference.

09Third-party services

The client portal is provided using SuiteDash, and certain functions (such as payment processing, email, and analytics) rely on other third-party providers. Your use of those features may also be subject to the providers’ own terms. We are not responsible for third-party services we do not control, but we select providers with care and describe our key providers in the Privacy Policy.

10Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure. This clause does not limit warranties that cannot be excluded under applicable law.

11Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to the Services. Our total liability arising out of or relating to the Services or these Terms will not exceed the amounts you paid to us for the Services in the three (3) months before the event giving rise to the claim, or USD 100 if you paid nothing. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12Indemnification

You agree to indemnify and hold harmless Onbizus and its members, officers, and agents from any claims, damages, and reasonable expenses (including attorneys’ fees) arising from your Client Content, your use of the Services, or your breach of these Terms.

13Term and termination

These Terms apply while you use the Services. We may suspend or terminate your access at any time if you breach these Terms or to protect the Services. You may stop using the Services at any time. Termination of these Terms does not by itself terminate an active engagement, which is governed by its SOW. Clauses that by their nature should survive (including Clauses 4–7 and 10–14) survive termination.

14Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The exclusive venue for any dispute that is not subject to a separate agreement to arbitrate will be the state and federal courts located in Harris County, Texas, and you consent to their jurisdiction.

15Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, where appropriate, notify you. Your continued use of the Services after changes take effect means you accept the revised Terms.
